In 2025, Alabama passed House Bill 200, a technical cleanup and modernization of the Business & Nonprofit Entity Code.
HB 200 Highlights:
Corrected outdated references and internal code cross-links.
Codified electronic practices—e‑filing processes and name reservations.
Clarified approval and naming of key agreements (mergers, conversions, exchanges), including procedures to ratify improperly approved documents.
Formalized termination fees and simplified member/stockholder buyout steps—especially in cases of death or disqualification.
